These Terms of Use apply to all users of our website and services. If you have entered into our Services Agreement, these Terms of Use apply in addition to that agreement.

1. ACCEPTANCE AND RELATED DOCUMENTS

1.1 These Terms of Use should be read together with our Privacy Policy and Services Agreement. If you subscribe to our services, you must agree to our Services Agreement, which prevails over these Terms of Use to the extent of any inconsistency.

1.2 We may update these Terms of Use at any time by posting the amended terms on our website. Your continued use of our website or services after any changes indicates your acceptance of the amended Terms of Use.

2. ABOUT OUR SERVICE

Nomino.ai is a document processing platform designed for mortgage brokers to collect, organise, and manage client documents efficiently. Our platform uses artificial intelligence and optical character recognition technology to automatically process, analyse and rename documents. Our service provides secure document collection, automated document processing and naming, integration with cloud storage platforms, AI-powered document analysis, and document management tools.

3. ACCOUNTS AND ACCESS

3.1 Eligibility — To use Nomino.ai you must be at least 18 years old and have authority to enter into this agreement.

3.2 Account Creation — To create an account, you must provide a valid business email address and accurate business information. You must keep your account information current.

3.3 User Access — Each account allows a maximum of two concurrent users. A concurrent user means any person accessing the Service simultaneously. You must not exceed this limit or share access credentials.

3.4 Account Security — You are responsible for maintaining the security of your account credentials and all activity under your account. You must notify us immediately of any unauthorised access.

4. SUBSCRIPTION AND TRIAL

4.1 Subscription Options — We offer three subscription tiers. Our Essentials tier includes Nomino Filesense, file converter, compressor and merger tool, and automated folder export. The Premium tier includes all Essentials features plus Nomino Doculink, Nomino AI Bot, and automated NCCP checklist. The Professional tier includes all Premium features plus Nomino PaySync, Nomino Truescore, and Nomino Doculink (white label).

4.2 Payment Terms — Current subscription prices are displayed on our website. Subscription fees are billed monthly in advance to your nominated payment method. You must maintain valid payment details for your subscription to continue. Subscription fees are non-refundable, and no refunds or credits will be provided for partial billing periods.

4.3 Trial Access — You may begin using Nomino.ai through our 7-day free trial with access to Professional tier features. During the trial period, you may upload up to 500 documents. You can start the trial without providing payment details, but your access to the Service will be suspended if payment details are not provided before the trial ends.

5. SERVICE AVAILABILITY

The Service is provided "as is" without any guarantee of uninterrupted availability. While we strive to maintain Service access, we do not provide uptime guarantees. The Service may be unavailable due to maintenance, technical issues, or circumstances beyond our control.

6. USING OUR SERVICE

6.1 Permitted Use — You may use the Service only for your legitimate business purposes. This includes uploading documents for processing, managing processed documents, and accessing features available under your subscription tier.

6.2 Service Access — The Service is available through web browsers on compatible devices. You are responsible for maintaining appropriate internet connectivity and technical requirements to access the Service.

6.3 Usage Monitoring — We monitor Service usage to ensure compliance with subscription limits and these Terms.

7. ACCEPTABLE CONDUCT

7.1 You must not share your account credentials, exceed the two concurrent user limit, create multiple accounts to avoid usage limits, allow unauthorised access to your account, or use another user's account.

7.2 You must not upload any unlawful or inappropriate content, upload malware or malicious files, upload documents you don't have permission to process, attempt to bypass file scanning systems, or upload content that infringes others' rights.

7.3 You must not attempt to access unauthorised areas of the service, interfere with the platform's operation, use automated means to access the service, reverse engineer or modify the service, or overload or flood the system.

7.4 You must not send spam through the service, harass others using the service, transmit misleading information, impersonate others, or use the service for phishing or fraud.

8. DOCUMENT HANDLING

8.1 Documents are temporarily stored in our platform during processing and then saved to your nominated storage service. You remain responsible for maintaining your storage service access and ensuring sufficient storage space in your chosen service.

8.2 You are responsible for the accuracy and completeness of uploaded documents, reviewing processed documents for accuracy, managing document retention in your storage service, and maintaining appropriate backups of your documents.

9. AI PROCESSING

9.1 Our service uses artificial intelligence to process documents. Processing results may require human review, and processing quality depends on document quality and format. We do not guarantee error-free processing results.

9.2 Our service relies on third-party artificial intelligence services not under our direct control. Service availability depends on these third-party providers, and processing capabilities may change as technology evolves.

9.3 We do not warrant that document processing will be error-free, file names will always be correctly assigned, or that processing will meet specific requirements.

10. PRIVACY AND SECURITY

10.1 We implement appropriate security measures to protect your data. You must keep your login credentials secure, not share access to your account, report any unauthorised access immediately, and maintain your own security measures.

10.2 We use secure authentication methods to connect with your chosen storage provider. While we facilitate this connection, we do not store your storage provider credentials. You remain responsible for maintaining the security of your storage account and controlling its access permissions.

11. SUPPORT AND MAINTENANCE

11.1 Support is available from 6:00 AM to 12:00 AM (AEST), seven days a week. Support requests can be made through our AI Chat Bot or support ticket system. We aim to respond within 24 hours, though resolution times vary depending on the nature of the issue.

11.2 Scheduled maintenance occurs between 11:00 PM Saturday and 4:00 AM Sunday (AEST). We provide notice of scheduled maintenance through our dashboard and email. Emergency maintenance may be performed without notice if required. Service access may be limited during maintenance periods.

12. CHANGES TO SERVICE

We may update the Service features and functionality from time to time. Updates will be communicated through our dashboard and email. Features may be added to subscription tiers or modified as our service evolves.

13. TERMINATION

13.1 You may cancel your subscription at any time through our billing portal. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods. You remain responsible for charges incurred before cancellation.

13.2 Upon termination, your access to the Service will cease. You may download your documents for 30 days after termination. We will delete your account data after this period.

14. INTELLECTUAL PROPERTY RIGHTS

14.1 We own or license all intellectual property rights in the Nomino.ai website and platform, including all software, design elements, user interface, graphics, code, and content. All content on our website and platform is protected by Australian and international intellectual property laws.

14.2 Our name, logo, and branding elements are our proprietary rights. You must not use, copy or reproduce these without our prior written permission. You may only use our website and platform for its intended purpose in accordance with these Terms.

15. THIRD-PARTY CONTENT AND SERVICES

15.1 Our website may contain links to third-party websites. These links are provided for convenience only. We do not endorse or control third-party websites and are not responsible for their content or privacy practices.

15.2 We reserve the right to refuse service to any person or entity at our discretion. This includes the right to decline new account applications, suspend or terminate existing accounts, remove or edit content, block access to our service, and restrict features or functionality.

16. SEVERABILITY

If any part of these Terms is found to be invalid or unenforceable, the remaining provisions remain in effect. Any invalid or unenforceable provision will be replaced with a valid provision that achieves the original intent.

17. DISCLAIMERS

To the extent permitted by law, we do not accept liability for any loss or damage arising from your use of our website or Service. If you subscribe to our Service, liability is governed by our Services Agreement.

18. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and Services Agreement (if applicable), constitute the entire agreement between you and us regarding your use of Nomino.ai. They supersede any prior agreements about your use of our website or service.

19. GOVERNING LAW

These Terms of Use are governed by the laws of Victoria, Australia. You irrevocably submit to the exclusive jurisdiction of the courts of Victoria and courts competent to hear appeals from those courts.
